ARTICLE I - Name and Purpose
Section 1 - The
name of the unincorporated not-for-profit organization shall be
the "World of Soap Themes", more commonly identified by the
acronym "WoST" and/or its internet home,
www.wost.org.
Section 2 -
WoST, supported by gifts from its Membership, is dedicated to
preserving, remembering, and showcasing surviving elements of
classic, serialized drama. WoST serves as an online museum
hosting the personal collections of vintage broadcast hobbyists,
making available for research and educational purposes archival
audio and video recordings generally inaccessible to the public.
ARTICLE II - Membership
Section 1 -
Membership to WoST is granted in accordance of these bylaws and at
the discretion of the WoST Board of Directors.
Section 2 -
Membership of any individual may be refused or cancelled at the discretion of the WoST
Board of Directors by popular vote for "just cause". "Just
cause" includes but is not limited to any action by an offending
Member which violates WoST bylaws, rules and regulations, disrupts
site operations, or abuses members of WoST, its Board of
Directors, illegal downloading or distribution of copyrighted
material showcased at the site, or any other violations of the
Copyright Law of the United States of America, or other conduct unbecoming of a site
Member.
Section 3 -
Membership grants users specific privileges at
www.wost.org, including
unlimited, unrestricted access to all vintage content available on the
WoST server and participation in the WoST
Forums. Additionally, Members may nominate and vote for
individuals they wish to represent them on the WoST Board of
Directors. Other privileges may be available as granted by
the WoST Board of Directors.
ARTICLE III - Membership Gifts
and Donations
Section 1 -
Financial gifts or donations of content to WoST.org are made by
special arrangement with the WoST Webmaster.
Section 2 -
Members may renew their membership at any time prior to expiration
of current term. Members may receive an email reminder prior
to term expiration.
Section 3 -
Financial gifts are used strictly to support
www.wost.org site operations and
include but are not limited to costs related to the acquisition,
support, and maintenance of hardware, software, and administrative
support as deemed appropriate by the WoST Board of Directors.
ARTICLE IV - Board of Directors
Section 1 - The
Board is responsible for overall policy and direction of
www.wost.org and delegates
responsibility for day-to-day operations to the Board's President.
The Board shall have up to seven members (including the
President). Members of the Board shall receive no
compensation for their service to the organization.
Section 2 - The
Board shall meet at least quarterly at an agreed upon time in the
WoST Chatroom. Should technical issues result in the WoST
Chatroom becoming inaccessible, alternative arrangements may be
made at the discretion of Board Members.
Section 3 -
Potential Board Members (excluding the President, who is
permanently seated) shall be nominated and subsequently voted upon
by all Paid Members. The six individuals receiving the
greatest number of votes will be elected and seated on the Board
for a term of two years and are eligible for re-election.
Section 4 - A
quorum must be attended by at least four Board Members (including
the President) before business can be transacted or motions made
or passed.
Section 5 - An
official Board meeting requires that each Board Member have notice
one week in advance and may be requested by any Board Member.
Section 6 - The
Board President serves as Chair for all regularly scheduled Board
Meetings and may appoint others to act in his stead.
Section 7 -
Resignation from the Board by any Board Member must be in writing
and received by the President. A Board Member shall be
dropped for excess absences from the Board if he or she has three
unexcused absences from Board meetings in a year. A Board
Member may be removed for other reasons by a majority vote of the
remaining Directors.
Section 8 - The
Board may set dues schedules and pricing for memberships.
ARTICLE V - Legalities
Section 1 - All
WoST.org Members, Board Members, and the President shall be cognizant
of the Copyright Law of the United States of America and recognize the terms and
conditions of use of all material presented at
www.wost.org under the strict
guidelines of Fair Use, sections 107 and 108.
Section 2 - No
WoST.org Member, Board Member, or the President shall engage in any
activity that violates the intellectual property rights of any
copyright holder or endorse any action that violates Fair Use or
any section of the Copyright Law of the United States of America.
Section 3 -
Certain images presented at
www.wost.org, including but not limited to audio and visual
presentations, are copyrighted and may not be downloaded and/or
distributed, or otherwise reproduced without
the expressed written consent of the original property owners.
Section 4 - The
WoST website, including all original content, graphics, and
design, is the intellectual property of Brian D. Puckett and may
not be reproduced without expressed written consent.
ARTICLE VI - Amendments
Section 1 -
These bylaws may be amended when necessary by a majority vote of
the Board of Directors. Proposed amendments shall be
presented to the Board and may be acted upon during Board
Meetings.
